The Owner acknowledges that the Recipient may receive information concerning the Owner’s business, practices, or other properties that may be deemed confidential. Consequently, the Parties mutually agree to the following terms and conditions outlined in this agreement.

This non-disclosure agreement was executed on xx/xx/2023 between BIOGEN MEDI Mobility (Owner) and (Recipient).

Throughout the duration of this non-disclosure agreement,any information the Recipient encounters, not in the public domain and made accessible solely through contact with the Owner, shall be classified as confidential information. This encompasses details related to vendors, pricing,products, technology, software, or any proprietary information.

The Recipient is required to exercise sound judgement in determining the confidentiality of information, and foremost, seek approval from the Owner before releasing any questionable information.

The Recipient comprehends the value of information deemed confidential to the Owner and commits to treating all such information with the same level of confidentiality as personal information. The Recipient agrees to adhere to standard non-disclosure terms for all confidential information and will not make such information available or disclose it to third-party vendors or individuals without the prior written consent of the Owner.

Under no circumstances shall the Recipient modify or copy confidential information made available to them.

Should the Recipient disclose any information without prior written approval from the Owner, the Owner retains the right to pursue remedies, including, but not limited to, legal action and termination of this agreement.

Upon entering into this non-disclosure agreement and fora period of 5 years after the conclusion or termination of this agreement, the Recipient shall refrain from engaging in business with or soliciting business made available by the Owner for the purpose of circumvention. In the event of such circumvention, the Owner is entitled to any and all compensation for transactions resulting from such occurrences.

Upon the conclusion or termination of this agreement, the Recipient agrees to return any information deemed confidential and related to this non-disclosure agreement. Any information that cannot be returned must be promptly destroyed following the termination or conclusion of this non-disclosure agreement.

This non-disclosure agreement does not constitute anemployment agreement between the Parties. The Recipient remains an individualcontractor unless directly contracted by the Owner and is responsible forpaying all federal and local taxes on received funds.

The Recipient is granted permission to use any and all information or products provided by the Owner strictly in the form permitted.All property provided to the Recipient remains the Owner's property and shall be treated as such. The Recipient agrees to hold the Owner harmless in the instance of any loss, damage, theft, or injury for any reason, including attorney fees, court costs, hospital fees, and loss of funds resulting from negligence.

This non-disclosure agreement constitutes the entire agreement between the Parties and supersedes any prior agreements, whether written or oral.

The obligations of this non-disclosure agreement shall endure indefinitely, including through termination or conclusion of this agreement.

The Parties agree to refrain from selling, transferring,or delegating any provisions of this agreement to third-party individuals without the prior written consent of the responding party. Any third-party individuals entering into this agreement shall be bound by all the terms and conditions contained within this agreement as such.

This non-disclosure agreement falls under the jurisdiction of New South Wales; furthermore, all legal proceedings related to this agreement shall be conducted accordingly. The prevailing party in such proceedings has the opportunity to seek compensation for all court fees associated with said proceedings.

Any and all notifications related to this non-disclosure agreement shall be delivered in person, via courier, or via certified letter to the addresses listed below:

Owner address: As registered.

Recipient address: As filled on this form.

By affixing their electronic signatures below, the Parties acknowledge and agree to all provisions included in this non-disclosure agreement.
